Terms & Conditions

Welcome to Spare Parts Map (accessible at sparepartsmap.com). These Terms & Conditions ("Terms") govern all commercial offers, quotations, sales, and supply agreements between Spare Parts Map ("Seller," "we," "us," or "our") and commercial clients, corporate buyers, or business entities ("Buyer," "Customer," or "you").

By placing a Request for Quote (RFQ), issuing a Purchase Order (PO), or purchasing products from Spare Parts Map, you explicitly agree to be bound by these Terms to the exclusion of any other buyer conditions.

Important B2B Notice: Spare Parts Map operates strictly as a Business-to-Business (B2B) platform. We do not sell to individual retail consumers (B2C).

1. Quotations & Order Acceptance

  • RFQs & Quotes: Written price quotations issued by Spare Parts Map are valid for 30 calendar days from the date of issuance unless otherwise stated in the offer.
  • Order Formation: A binding purchase contract is formed only when Spare Parts Map issues an official written Order Confirmation or Proforma Invoice.
  • Technical Specifications: Quotations are based on the manufacturer part numbers (MPN) or OEM references provided by the Buyer. The Buyer is solely responsible for verifying that the specified part number matches their machine requirements prior to order confirmation.

2. Pricing, Taxes & VAT

  • Prices: All listed prices and quotation values are in Euros (EUR) or US Dollars (USD) and exclude Value Added Tax (VAT), customs duties, tariffs, and freight charges unless explicitly stated under specific Incoterms.
  • EU VAT & Reverse Charge: For B2B clients within the European Union (EEA) with a valid, verified VIES VAT number, intra-Community supply rules apply (0% VAT / Reverse Charge). If a valid VAT ID is not provided, statutory VAT rates will be added.
  • Price Adjustments: We reserve the right to adjust prices prior to dispatch in the event of unexpected manufacturer price increases, extreme currency fluctuations, or revised tariff regulations.

3. Payment Terms

  • Standard Terms: Unless credit terms have been formally approved in writing, all orders require 100% advance payment via Bank Wire Transfer (SEPA / SWIFT) or corporate Credit Card.
  • Credit Terms: Approved corporate accounts operating on net payment terms (e.g., Net 30) must settle invoices strictly within the agreed timeframe. Late payments are subject to a statutory interest charge of 1.5% per month or the maximum rate allowed by applicable law.
  • Order Suspension: We reserve the right to hold shipments or cancel pending orders if the Buyer fails to settle outstanding balances.

4. Delivery & Incoterms

  • Standard Shipping Terms: Unless otherwise agreed in writing, all international shipments are delivered under FCA (Free Carrier) or DAP (Delivered at Place) per Incoterms® 2020.
  • Risk Transfer: Risk of loss or damage to goods transfers to the Buyer upon delivery to the carrier (for FCA) or upon arrival at the designated delivery destination (for DAP).
  • Delivery Dates: Delivery lead times provided in quotations are estimates based on stock availability and carrier schedules. Spare Parts Map is not liable for minor shipping delays caused by customs clearance procedures or carrier operations.

5. Inspection, Acceptance & Defect Notification

  • Inspection Period: The Buyer must inspect delivered packages immediately upon receipt for physical damage, quantity discrepancies, or incorrect items.
  • Notification Window: Any claim regarding missing items, transport damage, or incorrect shipments must be reported to Spare Parts Map in writing within 7 calendar days of delivery.
  • Deemed Acceptance: Failure to provide written notice within 7 days constitutes full acceptance of the delivery.

6. Warranty & Genuine Product Guarantee

  • 100% Genuine Guarantee: Spare Parts Map guarantees that all supplied components are 100% original, brand-new OEM products sourced through authorized distribution channels.
  • Manufacturer Warranty: Products are covered by the original manufacturer's limited warranty. Spare Parts Map will facilitate warranty claims with the manufacturer on behalf of the Buyer.
  • Warranty Exclusions: Warranty coverage does not apply to damage resulting from improper installation, improper electrical voltage, mechanical abuse, lack of maintenance, or unauthorized modification.

7. Limitation of Liability & Plant Downtime

Critical Risk Allocation: Industrial equipment failures can lead to operational disruptions. Spare Parts Map enforces strict limits on commercial liability.

  • Exclusion of Consequential Damages: Under no circumstances shall Spare Parts Map be liable to the Buyer or any third party for indirect, incidental, special, or consequential damages. This includes, but is not limited to:

  • Plant downtime or production stoppages

  • Lost profits, revenue, or business opportunities

  • Labor costs incurred during component replacement or troubleshooting

  • Maximum Liability Cap: Spare Parts Map's maximum aggregate financial liability for any claim arising out of or related to an order shall not exceed the actual purchase price paid by the Buyer for the specific defective item.

8. Force Majeure

Neither party shall be held liable for failure or delay in fulfilling contractual obligations if such failure arises from causes beyond reasonable control ("Force Majeure"), including acts of God, extreme weather events, global logistics disruptions, war, trade embargoes, national emergency declarations, or raw material shortages.

9. Export Controls & Compliance

The Buyer agrees to comply with all applicable export control regulations, international trade sanctions, and re-export laws. Products supplied by Spare Parts Map shall not be re-exported or redirected to sanctioned destinations, embargoed entities, or unauthorized military end-uses.

10. Governing Law & Jurisdiction

These Terms and any commercial contracts executed between the Buyer and Spare Parts Map shall be governed by and construed in accordance with international commercial law. Any legal dispute or claim that cannot be settled amicably shall be submitted to the exclusive jurisdiction of the competent commercial courts.
